Terms and Conditions

"Numix," or "numix.org" (together referred to as "Numix"), is an online service of , (hereinafter "Provider"). These Terms and Conditions (hereinafter "T&C") govern the contractual relationship between the Provider and the registered user as customer (hereinafter "Customer").

§ 1 Scope

(1) These Terms and Conditions as well as the product descriptions and prices apply in the version valid at the time the contract is concluded.

(2) The Numix Services can be used via the homepage or a Numix app that can be downloaded from app stores.

(3) The Provider’s offers are directed at consumers. A consumer is any natural person who concludes a legal transaction for purposes that predominantly are outside their trade, business, or profession.

§ 2 Service Offerings and Registration

(1) The Provider offers free services (hereinafter the "Basic Membership" or "Free Services") and paid services (hereinafter "Paid Services") in the field of "collector coins." The Provider makes available an automated digital platform with comprehensive information on collector coins (prices and price developments), thereby creating transparency and efficiency for all participants in the collector coin market, offers image recognition of coin photos and depictions via AI-supported software, and provides a comprehensive research tool for collector coins as a digital interface for collectors, dealers, and auction houses (together hereinafter the "Services").

(2) The Provider additionally brokers free and paid offerings from cooperation partners (hereinafter "Cooperation Partners").

(3) Personal registration is required to use the Services. Only persons over the age of 18 are eligible to register (hereinafter "Prospect"). The Provider may request proof of age at any time. Registration and use are permitted solely for private purposes.

§ 3 Conclusion of Contract for Basic Membership (Registration)

(1) Registration requires the Prospect’s name, a valid email address, form of address, date of birth, and a password. By clicking the "Create Account" button, the Prospect makes an offer to register and use the free Numix Service. The information provided must be truthful.

(2) All access credentials must be kept confidential. To prevent misuse, the customer is obligated to store them securely and not disclose them to third parties.

(3) The customer is responsible for ensuring that the email address is reachable and checked regularly. The Provider will send editorial newsletters to this email address, including notices of upcoming coin auctions. The customer may object to receiving such emails at any time.

(4) The Provider is entitled to change, limit, or discontinue the scope of the free Basic Membership. In particular, Free Services may be offered as Paid Services for the future in return for a fee. There is no automatic transition to a paid subscription contract.

§ 4 Conclusion of Contract for Paid Subscription Services

(1) After registration, the customer may order Paid Services from the Provider. The technical requirements and service components of the respective package are set out in a product sheet with paid functionalities. The product sheet can be accessed via and via any distribution partners of the Provider and is provided to the customer prior to concluding a contract for the use of the Services. The product sheet, including price, in the version applicable at the time of contract conclusion, forms part of the subscription contract (hereinafter also the "Subscription"). Prices include VAT.

(2) To conclude a Subscription, the customer logs into the "Numix" website or, where applicable, the "Numix" app via their account, selects the Subscription and the payment method, and provides payment details. By clicking the order button "Order with an obligation to pay," the customer makes an offer to conclude a paid Subscription.

(3) The Provider will promptly confirm receipt of the order by email. The Provider may accept the order by activating the Paid Services. An offer for a subscription contract may also be made via distribution partners. In that case, the contractual terms of the distribution partner apply to the contractual relationship between the distribution partner and the customer, in particular the payment and termination terms. After conclusion of the contract, the customer receives a code ("Code") from the distribution partner with which the customer can activate the Service. By sending the Code to the email address provided by the customer, the Provider or the distribution partner has fulfilled its obligations, regardless of whether the customer retrieves the Code and uses the Service provided.

(4) Unless expressly agreed otherwise, subscription contracts are offered on a monthly basis (hereinafter the "Subscription Period").

(5) Changes to personal data, in particular bank details and billing address, must be reported without undue delay under "Settings" in the "Account Data" menu item and kept up to date on an ongoing basis.

(6) The Provider may also distribute, in the name and on behalf of Cooperation Partners, additional services that are made available to the customer via the Numix website or the app or directly by the Cooperation Partner. The Provider is not responsible for the cooperation product and will label it accordingly. For its use, the customer concludes the contract with the Cooperation Partner.

(7) The Provider may adjust the customer’s chosen Subscription with respect to individual components to provide optimised service components corresponding to the customer’s individual usage, to the extent such adjustments are reasonable for the customer.

§ 5 Free Trial Period

(1) The Provider may offer the customer Paid Services free of charge for a certain period (hereinafter "Trial Offer"). Each customer may take advantage of such a Trial Offer only once. It is at the Provider’s discretion to offer a Trial Offer to a customer. The Provider may require the customer to provide payment details to use a Trial Offer.

(2) The Provider may make a Trial Offer that transitions into a paid Subscription. Such a paid extension will be displayed to the customer prior to completion of a Trial Offer and must be actively ordered with the notice "Order with an obligation to pay." The customer is free to cancel the Trial Offer at any time before the end of the trial period without giving reasons. The form of cancellation is governed by the termination options set out in Clause 10. If the customer does not exercise the right of cancellation, the contractual relationship will continue as a paid Subscription after the end of the trial period. The minimum contract term begins when the Paid Service becomes available for use.

§ 6 Licence

(1) The Services, apps, and content provided by the Provider are legally protected, in particular by copyright and related rights. Accordingly, subject to the customer’s compliance with all statutory and contractual provisions, the Provider grants the customer a limited, non-exclusive, and non-transferable right during the provision of the Services to access, view, use, and display the content provided under "Numix" for non-commercial, private use and to use it for private collecting purposes.

(2) The customer is not permitted to edit, reproduce, distribute, transform, bundle with other software, remove, and/or publicly perform the content and/or software provided.

(3) The customer may not perform or have third parties perform reverse engineering of the software provided. In particular, the customer may not exploit, copy, modify, rent, lend, distribute, edit, decompile, or otherwise attempt to derive or alter the source code of the software.

§ 7 Payment Terms

(1) These Payment Terms apply to contracts concluded directly with Numix. If the customer has booked the Services via a distribution partner and payment is processed through that partner, the payment terms of the distribution partner apply.

(2) Payments for Paid Services are recurring periodically in advance. If the customer obtains additional Paid Services during an ongoing Subscription Period, the Provider will invoice the prorated costs up to the next regular periodic billing.

(3) The customer agrees that the Provider may assign claims to third parties.

(4) The payment systems specified in the offer, in particular credit card, PayPal, SEPA direct debit (EU/EEA only), are accepted. For SEPA direct debit, we will inform you at least 1 day before the due date of the amount and date (pre-notification).

(6) Furthermore, in the event of early termination by the Provider due to outstanding claims, the Provider reserves the right to charge a one-time flat fee appropriate to the outstanding claim. The customer may prove that no damage or less damage has occurred.

(7) The customer may change the payment method in the customer account at any time, provided the account is not blocked.

(8) Refund claims by the customer for overpayments, duplicate payments, etc. will be credited to the customer’s account and offset against the next invoice.

(9) The Provider is entitled to charge costs of payment default, in particular bank and processing fees. The customer may prove that no damage or less damage has occurred.

(10) The customer agrees to receive invoices and reminders electronically. Electronic invoices are made available to the customer in PDF format in the Numix customer account on the Numix website and can be viewed or downloaded there at any time.

§ 8 Availability of the Services

(1) The Services are provided to the customer without any guarantee or assurance of permanent availability. As a rule, Numix is available to the customer 24 hours a day. The Provider reserves the right to reasonably restrict operating times where required for technical reasons (e.g., maintenance), for network security, to maintain network integrity, or for data protection reasons.

(2) The Provider is in no case responsible for the availability of products of Cooperation Partners.

§ 9 Liability

(1) Unless otherwise agreed, the Provider is liable in accordance with statutory provisions.

(2) For customer claims for damages, the Provider is liable, regardless of the legal basis, under fault-based liability for intent and gross negligence. In the event of simple negligence, the Provider is liable only

  1. (i) for damages resulting from injury to life, body, or health;
  2. (ii) for damages resulting from the breach of a material contractual obligation. A material contractual obligation is an obligation the fulfilment of which is essential for the proper performance of the contract and on the observance of which the contractual partner regularly relies and may rely. In this case, liability is limited to compensation for foreseeable damage typical for the contract.

(3) The limitations of liability arising from Clause 9.2 also apply to third parties as well as to breaches of duty by persons whose fault the Provider is responsible for under statutory provisions. They do not apply where a defect has been fraudulently concealed or a guarantee for a quality has been assumed, and for customer claims under the Product Liability Act.

§ 10 Termination

(1) The following provisions do not apply if the customer has booked the Services via a distribution partner. In that case, the termination conditions of the distribution partner apply, and termination must be declared to that party.

(2) The customer may end the Basic Membership via the Free Service at any time.

(3) The customer may terminate contracts for Paid Services, depending on the Subscription, upon expiry of the agreed minimum term. After the minimum term, the Subscription is extended for an indefinite period. It may then be terminated at any time with one month’s notice to the end of a month. For contracts concluded online, we provide a cancellation button pursuant to Section 312k BGB.

(4) The customer may declare termination via the Numix website under "Settings" in the "Account Data" menu item.

(5) Upon the end of the Paid Service, the customer’s access to the Paid Services and benefits expires.

(6) Furthermore, the Provider may terminate the free Basic Membership (registration) if the customer does not use the Free Services for longer than one (1) month.

§ 11 Right of Withdrawal

The customer, as a consumer, has a right of withdrawal in accordance with statutory provisions. The right of withdrawal is governed by the following withdrawal policy:

Right of Withdrawal: You have the right to withdraw from this contract within fourteen (14) days without giving any reason. The withdrawal period is fourteen (14) days from the day the contract is concluded in the case of a contract for the use of services. To exercise your right of withdrawal, you must inform us (Numix GmbH, Neue Mainzer Straße 66-68 or email: [email protected]) of your decision to withdraw from this contract by means of a clear statement (e.g., a letter sent by post or email). You may use the attached model withdrawal form, which is not mandatory. To meet the withdrawal deadline, it is sufficient that you send your communication concerning your exercise of the right of withdrawal before the withdrawal period has expired.

Effects of Withdrawal: If you withdraw from this contract, we shall reimburse to you all payments received from you without undue delay and in any event no later than fourteen (14) days from the day on which we are informed of your decision to withdraw from this contract. You will not be charged any fees for such reimbursement. The reimbursement will be made using the same means of payment as you used for the initial transaction.

Expiry of the Right of Withdrawal

The right of withdrawal expires in the case of a contract for the supply of digital content not supplied on a tangible medium if the Provider has begun performance of the contract after the consumer

  1. (i) has expressly consented to the Provider beginning performance of the contract before the withdrawal period has expired, and
  2. (ii) has acknowledged that, by giving consent, they lose their right of withdrawal upon the start of performance of the contract, and
  3. (iii) the Provider has provided the consumer with confirmation of the consent to immediate performance and confirmation of the knowledge of the expiry of the right of withdrawal on a durable medium.

§ 12 Dispute Resolution

(1) For out-of-court dispute resolution, consumers in online service contracts have access to the European Commission’s Online Dispute Resolution (hereinafter "ODR") via the ODR platform at https://ec.europa.eu/consumers/odr/.

(2) The Provider expressly points out that it is neither willing nor obliged to participate in a procedure for out-of-court dispute resolution.

§ 13 Governing Law and Final Provisions

(1) Contracts between the Provider and the customers are governed by the law of the Federal Republic of Germany. Statutory provisions on limitations of choice of law and on the application of mandatory provisions, in particular of the state in which the customer as a consumer has their habitual residence, remain unaffected.

(2) The customer may transfer rights and obligations under this contract to a third party only with the prior written consent of the Provider.

(3) The customer may offset own claims against the Provider only if such claims are undisputed or have been finally adjudicated. The customer has a right of retention only to the extent that a counterclaim arises from the same contractual relationship.
